By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
SingleFile provides entity management and compliance services, including registered agent services, annual report filing, business filing services, corporate compliance management, CTA/BOI reporting assistance, and UCC filing and search services. The specific services available to you depend on your subscription plan.
To use our Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
You agree to pay all fees associated with your use of the Services in accordance with the pricing in effect at the time of your subscription or order. Fees are non-refundable except as required by law or as stated in our refund policy.

SingleFile provides compliance filing and administrative services. We are not a law firm and do not provide legal advice. Our services are not a substitute for legal counsel. For legal questions, you should consult a licensed attorney.
SingleFile will use commercially reasonable efforts to prepare and submit accurate filings on your behalf based on the information you provide. We are not responsible for errors caused by inaccurate or incomplete information provided by you, or for rejections by state agencies due to circumstances outside our control.
The Services and all content, features, and functionality are owned by SingleFile and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
Either party may terminate your account with notice. Upon termination, your right to use the Services ceases. We will provide you with a reasonable opportunity to export your data before termination takes effect, except in cases of violation of these Terms.
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SINGLEFILE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SINGLEFILE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
These Terms are governed by the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of King County, Washington.
We may update these Terms from time to time. Material changes will be notified via email or through the Services. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
